3. Client Content and Data

You retain ownership of content and data you provide (“Client Content”). You grant Belle Global a limited, non-exclusive license to use Client Content solely to provide, secure, and improve the Services, and as otherwise permitted by our agreement and Privacy Policy. You represent that you have obtained required rights and consents.

4. Intellectual Property

The Services, including software, designs, workflows, templates, documentation, and all related intellectual property, are owned by Belle Global or its licensors and are protected by intellectual property laws. No rights are granted except as expressly set forth in these Terms or a separate written agreement.

5. Third-Party Services and Links

The Services may integrate with or link to third-party services. We are not responsible for third-party content, availability, or practices. Your use of third-party services is governed by their terms and privacy policies.

6. Confidentiality

If you receive non-public information from Belle Global, you must keep it confidential and use it only to access or use the Services. This obligation does not apply to information that is public, independently developed, or lawfully obtained from another source.

7. Privacy

Our collection and use of personal information are described in our Privacy Policy. By using the Services, you consent to the processing of information as described therein.

8. Security

You must implement reasonable measures to protect your systems when accessing the Services. We employ safeguards to protect the Services but cannot guarantee absolute security.

9. Fees and Payment (If Applicable)

If your use of the Services is subject to fees, you agree to pay all amounts when due as described in an order form, subscription, or master agreement. Late payments may incur interest and result in suspension.

We may offer beta or pre-release features. These are provided “as is,” may be modified or discontinued at any time, and may be subject to additional terms. If you provide feedback, you grant Belle Global a perpetual, irrevocable, royalty-free license to use it without restriction.

11. Warranties and Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. Belle Global does not warrant that the Services will meet your requirements or be error-free.

12. Limitation of Liability

To the fullest extent permitted by law, Belle Global and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or business opportunities, arising out of or related to these Terms or the Services. Our total liability for any claim will not exceed the amounts paid by you for the Services in the twelve (12) months prior to the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold Belle Global harmless from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your Client Content, or your violation of these Terms or applicable law.

14. Suspension and Termination

We may suspend or terminate access to the Services if you violate these Terms, pose a security risk, or fail to pay applicable fees. Upon termination, your right to use the Services ceases. Sections intended to survive termination (e.g., Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability) will remain in effect.

15. Export Controls and Sanctions

You represent that you are not located in, under control of, or a national or resident of any country or party subject to U.S. or other applicable embargoes or sanctions. You agree to comply with all applicable export control and sanctions laws.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of __________, without regard to conflict of law principles. Disputes will be resolved through good-faith negotiations. If unresolved, disputes shall be submitted to binding arbitration in __________, administered by __________, except that either party may seek injunctive relief in a court of competent jurisdiction.

17. Changes to the Terms

We may update these Terms from time to time. The “Effective Date” will reflect the latest version. Continued use of the Services after changes take effect constitutes acceptance.

19. General

These Terms constitute the entire agreement regarding the Services unless superseded by a signed master agreement. If any provision is unenforceable, the remainder will continue in effect. No waiver is effective unless in writing. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a corporate transaction.
